1Acceptance of Terms

Welcome to Markup Axis Limited (LTD) (the “Service”), provided by Markup Axis Limited (LTD) (“we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and any related software (collectively, the “Service”).

By accessing, registering for, or using the Service, you (“User,” “you,” “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree, you must not use the Service.

2Definitions

  • “Content” refers to any text, images, designs, documents, feedback, or other materials uploaded, submitted, or created through the Service.
  • “User Content” refers to Content uploaded or submitted by you or your users.
  • “Service” refers to the Markup Axis Limited (LTD) web application, its features, tools, and all related services.
  • “Account” refers to your unique registration and access point for the Service.

3Account Registration and Security

  • You must provide accurate, complete, and current information during registration and keep your account information updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • You agree to notify us immediately of any unauthorized use of your account or any other security breach.
  • You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service.

4Access and Use of the Service

License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business or personal purposes.

Restrictions

  • Use the Service for any illegal or unauthorized purpose.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Use the Service to store or transmit viruses, malware, or any other malicious code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use any automated system (e.g., bots, spiders) to access the Service.
  • Use the Service to violate any laws or infringe upon the intellectual property rights of others.

5User Content and Data

Ownership: You retain all ownership rights to the User Content you upload to the Service. We do not claim any ownership rights over your User Content.

License to Us: By uploading User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, modify, and communicate your User Content solely for the purpose of operating, improving, and providing the Service to you.

Your Responsibilities: You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights, licenses, and permissions to use and authorize us to use all User Content you submit.

Prohibited Content: You may not upload User Content that is illegal, obscene, defamatory, threatening, invasive of privacy, infringing of intellectual property rights, or otherwise harmful to third parties.

6Intellectual Property

Our Rights: The Service, its original content (excluding User Content), features, functionality, and all associated intellectual property rights are and will remain the exclusive property of Markup Axis Limited (LTD) and its licensors.

Feedback: Any feedback, comments, or suggestions you provide regarding the Service is voluntary. We may use this feedback for any purpose without obligation of any kind.

7Fees and Payment

  • If the Service is provided for a fee, you agree to pay all applicable fees as described on our pricing page.
  • Fees are non-refundable, except as required by law or as otherwise stated in our refund policy.
  • We reserve the right to change our fees upon reasonable notice. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the new amount.

8Termination

  • You may stop using the Service at any time.
  • We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms.
  • Upon termination, your right to use the Service will cease immediately. We may, but are not obligated to, delete your User Content after a reasonable period post-termination.

9Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MARKUP AXIS LIMITED (LTD), ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11Indemnification

You agree to defend, indemnify, and hold harmless Markup Axis Limited (LTD) and its licensors and suppliers from any claim, demand, loss, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any User Content you upload.

12Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Accra, Ghana.

13Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
